12. REFUND AND CREDITS

General Policy

Except as expressly stated in these Terms and Conditions, all fees paid to the Agency are non-refundable once Services have commenced.

Fees Up to £1,000

Where a refund is agreed by the Agency in writing, the maximum cash refund available shall not exceed £1,000 (one thousand pounds sterling) in total per Client, per contract or project.

Fees Exceeding £1,000 – Credit Notes

For any fees paid in excess of £1,000, no cash refund shall be provided. Instead, any such amount (if agreed by the Agency) shall be refunded by way of a credit note only, subject to the following conditions:

a. The credit note may be used against any future Services offered by the Agency, at the Client’s choice.

b. The credit note may not be used for advertising spend, including but not limited to paid media budgets, third-party advertising platforms, or any costs payable to external advertising providers.

c. Credit notes are non-transferable, have no cash value, and may not be exchanged for money.

d. Credit notes must be used within 3 months of the date of issue, after which they shall expire automatically.

Excluded Circumstances

No refunds or credit notes shall be issued for:

Work already completed or partially completed
Strategy, planning, onboarding, audits, research, or consultancy time
Restrict or disable access
Third-party costs, licences, subscriptions, or ad spend
Delays or failures caused by the Client, including failure to provide information, approvals, or access

Statutory Rights

Nothing in this section shall exclude or limit any rights the Client may have under applicable law.

13. GOVERNING LAW

These Legal Terms are governed by the laws of England and Wales. EU consumers retain mandatory protections under local law.

14. DISPUTE RESOLUTION

Informal Negotiations

Disputes must first be negotiated informally for 30 days.

Binding Arbitration

Disputes shall be resolved by arbitration seated in Birmingham, England, under English law.

Exceptions

Intellectual property disputes and claims for injunctive relief are excluded from arbitration.

15. CORRECTIONS

We reserve the right to correct errors or omissions without notice.

16. DISCLAIMER

The Services are provided “AS IS” and “AS AVAILABLE”. Use is at your own risk. We disclaim all warranties to the fullest extent permitted by law.

You consent to electronic communications and electronic signatures.

Complaints may be directed to the California Department of Consumer Affairs.

These Legal Terms constitute the entire agreement. If any provision is unenforceable, the remainder remains in effect.
